Sales Terms and Conditions

Please read these Sales Terms and Conditions ("Terms") carefully – by ordering products on this Site you are agreeing to them. You also agree to our Site Terms of Use which define the conditions under which Users can access and use the Site and more particularly conditions under which ArtPhotoGroup Pty Ltd provide Users with a Private Web Gallery and our Privacy Policy, which sets out how we deal with ArtPhotoBaby users' photos, personal information and privacy.

Referred in these Terms as « the Customer » or “Customers” or ‘You’

  • By placing an order on the site, Customers acknowledge having read these Sales Terms and Conditions, accepting them without any restriction and being contractually bound to abide by them. By doing so, Customers expressly renounce to refer to any other document or information source in their contractual dealings with ArtPhotoGroup Pty Ltd.
  • To validate and finalise an order on the Site, Customers, after reading these Sales Terms and Conditions, accept them by deliberately ticking the box ‘I accept Sales Terms and Conditions’ on the Site. If Customers refuse to accept them, they will not be able to finalise and place their order on the Site.
  • ArtPhotoGroup Pty Ltd its right to amend these Sales Terms and Conditions at anytime by simply editing them and publishing them on the Site. The changes to the Terms will apply as soon as they are uploaded on the Site and will be applicable to any User from that moment onwards. We therefore recommend Customers to regularly refer to the latest version of these Terms.
  • Applicable Sales Terms and Conditions are the ones published on ArtPhotoBaby web site when the Customer validates his order.

In the following Sales Terms and Conditions, words or expressions starting with a Capital letter bear the following meaning:

  • Site: the present website accessible on the url « www.artphotobaby.com.au ».
  • User: any physical person visiting one or many pages of the Site.
  • Account owner: physical person whose personal data is attached to the Account.
  • Customer: any physical person having ordered products on/at ArtPhotoGroup Pty Ltd, either through the Site or any other commercial ways
  • Private Web Gallery: pages on the Site, accessible to Users by using a connexion login and password which allow them access to personalised pages on the Site, where ArtPhotoGroup Pty Ltd displays images of products personalised with Account owners and/or Account owners’ children and family members’ photos and personal details.
  • ArtPhotoGroup Pty Ltd provides Users with the facility to view a range of products already personalised with their details and photos taken by ArtPhotoGroup Pty Ltd’s photographers, and to purchase them on the Site. The images of personalized products are accessible on the User’s Private Web Gallery on the Site. Conditions to create and use the Private Web Gallery are detailed in the Site Terms of Use.
  • ArtPhotoGroup Pty Ltd offers Users the ability to order: prints of their photos; personalised products which bear Users’ photos and details on or within them; electronic files of their photos, and we refer to those prints, products and services as our “Products”.
  • Products proposed by ArtPhotoGroup Pty Ltd cover the following categories:
    • Photo Books
    • Photo Prints and enlargements
    • Birth announcement cards, thank you cards, Invitation Cards
    • Posters, Canvases, Room Signs and other decorative items
    • Birth Certificates and other gift ideas
    • Stationary
    • Textile articles

    The above list is not exhaustive. As ArtPhotoGroup Pty Ltd evolves and changes over time, we may add Products or remove Products from our Services.

  • Information and specifications of Products proposed by ArtPhotoGroup Pty Ltd are detailed within the Account owner’s Private Web Gallery on the ‘Product’ pages. The product will be printed exactly as it is displayed on the site.
  • By placing an order on this Site, Customers warrant that they have all necessary permission, right and authority to place their order and authorize ArtPhotoGroup Pty Ltd to produce the Products on their behalf. Customers grant ArtPhotoGroup Pty Ltd the right to copy, modify, create derivative works and printing files from the Private Web Gallery for the purpose of fulfilling the order.
  • Customers contractualise with ArtPhotoGroup Pty Ltd to produce and deliver one or many personalised products proposed by ArtPhotoGroup Pty Ltd and visible in their Private Web Gallery. To do so, ArtPhotoGroup Pty Ltd will possibly appoint third party suppliers to execute the execution of this contract (production and delivery of ordered products).
  • The contract concluded between Customers and ArtPhotoGroup Pty Ltd is a business contract relative to a specific service aimed at meeting Customers unique needs, given the high level of personalisation of products proposed by ArtPhotoGroup Pty Ltd.
Order validity

Only orders with a product delivery address within Australia will be validated. In case you wish to deliver in New Zealand, Asia or beyond, please contact our Customer Service.

ArtPhotoGroup Pty Ltd may reject an order in certain circumstances, namely /or in the following cases : (1) the order is breaching the requirements of these Terms; (2) our inability to obtain authorisation for your payment; or (3) a relevant pricing or Product description error being identified.

If your order is rejected, we will contact you to confirm this and reverse the payment you have made for that order.

Product availability

Products are available and can be ordered only during the period during which they are visible within the Customer’s Private Web Gallery on the Site.

In the case where a product is still unavailable beyond 3 weeks after the date when the order was validated on the site, ArtPhotoGroup Pty Ltd will contact the Customer (by e-mail or any other appropriate communication method) in order to come to an agreement to (1) postpone the delivery; or (2) replace the product by another one similar in price and quality; or (3) cancel the order and refund the cost of product and delivery.

In case of absence of feedback from the Customer during 7 days after receiving the communication from the Company, ArtPhotoGroup Pty Ltd will cancel the order and will refund the Customer the cost of the product and associated postage and handling costs.

Orders with Multiple items

ArtPhotoGroup Pty Ltd holds on to items for up to 15 business days after the first item has been received and allocated to the order to include as many items in one shipment as possible. You can request items to be sent sooner by contacting ArtPhotoBaby’s Customer Service. If you require items to be sent before the 15 business day time frame, an additional postage charge may apply.

Completion of an Order & Outstanding items

An order will be complete when either of the following occurs (1) all items were sent and delivered (2) the Customer nominated to pay by cheque, money order or bank transfer and the monies were never received by ArtPhotoGroup Pty Ltd within 60 days of the date of the order and the unprocessed order was cancelled (3) ArtPhotoGroup Pty Ltd could not charge the credit card and the unprocessed order was cancelled (4) more than 120 days have passed since monies have been received on an order and ArtPhotoGroup Pty Ltd was unable to produce the product(s) and if so then the customer will receive a refund for the amount of the cancelled item, unless the customer wishes to wait longer for such product to become available.

Offers Validity

Commercial offers are valid only during the period during which they are advertised on the Site unless stated differently on promotional printed documents issued by ArtPhotoGroup Pty Ltd.

Order process

To order Products from the Site, a Customer must have a registered Account on the Site

  • When you first connects on the Site, you will be asked to create your Account to access your Private Web Gallery where you can view and order Products already personalised with your details and photos.
  • To create your Account, you will have to key in the access code communicated by the photographer at the end of the photoshoot. You will then control, correct and validate your account details and secure your Account by choosing a personal login and password. You then becomes the Account owner and can access your Private Web Gallery.
  • For further connections, you will access your Private Web Gallery using your login and password.
  • The creation of the registered Account associated to your Private Web Gallery allows ArtPhotoGroup Pty Ltd to identify Customers on the Site.

Account owners are responsible for usage of his Account and associated Private Web Gallery

  • Account owners can share their login and password with third parties so they can access their Private Web Gallery and purchase Products
  • Account owners agree that they are responsible for protecting their login and password and controlling access to their registered accounts. They agree that they will be responsible for all orders placed or other actions that are taken through their registered account.
  • When Account owners communicate their login and password to other Users (friend or family member for example), Account owners bear all responsibility for other Users behaviour in their Private Web Gallery. Account owners remain solely responsible for the usage of their Private Web Gallery and any data or images transferred under their login or password.
  • All uses and data transfers made using Account owners login and password will be considered as done by Account owners and, as such, Account Owners will bear all consequences which could result from any wrongdoing when using their Private Web Gallery like breaching our copyrights or using their data unlawfully.

A contract between You and ArtPhotoGroup Pty Ltd for the purchase of a Product is created as follows:

  • You connect to a Private Web Gallery using your login and password
  • You select the product(s) you wish to purchase by adding them to your bag, by clicking the ‘add to bag’ button on each product page
  • You must validate the contents of your shopping bag after checking products, quantities and pricing and making the changes you may wish
  • You must choose and validate the delivery address and method
  • You must choose and validate the payment method
  • You must confirm your order by pressing an order confirmation button at the end of the checkout process
  • By confirming your order, you agree to purchase the Product(s) you have selected, exactly as they are displayed on the Private Web Gallery.
  • At this point, we take payment for the order by means of the nominated Payment Method.
  • We will send to the email address you used a “Thanks for your order” email detailing the order for the Product, and other information we must provide.
Order Confirmation

After the order is confirmed on the Site, ArtPhotoGroup Pty Ltd will send an electronic confirmation to Customers’ e-mail address to confirm the order has been registered.

Proof of order

Automatic data registration made by ArtPhotoGroup Pty Ltd on the Site will be considered as proof of purchase by Customers.

  • All orders are a firm sale. Your products will be sent to production as soon as your payment is accepted. They are fully personalised so we will not be able to refund your order once it has been confirmed on the site.
  • Please check up carefully the text personalisation of your products before you finalise your order as we will print exactly what you see in your Private Web Gallery.
  • As much as we would love to please you, we will not be able to cancel, change your order or reprint if it you wish to correct some text after the order has been passed.
  • The right to cancel a contract and return Products does not apply to any personalised Products – although you do have the right to reject any Product which is faulty or not as described in our specifications. Please Refer to Article 9 on these Terms. In that case, you need to notify us and must return the unused Product to us within 8 days and must pay the cost of returning the Product to our nominated address. We will reprint and resend you a fresh new Product within 3 weeks of receiving your damaged goods. Please note that slight variations in colour between the printed product and the images on the screen of the Customer, are not considered as non-conformity and that the liability of ArtPhotoGroup Pty Ltd to replace the Product will not be engaged in that case.
  • Products prices are the ones displayed on the Site when Customers validate their order.
  • All prices are in Australian Dollars including GST
  • All prices are firm during the validity periods as indicated on the Site
  • Product prices do not include costs associated with treating the order, preparing, packing, dispatching and delivering the Product(s). These are billed separately as additional costs ( ‘Delivery costs’ in these Terms). These costs will be specified to Customers before they finalize and validate their order on the Site.
Payment terms

Price is payable in full on the day the order is validated on the Site. No Order dispatch will be done prior to the full payment of the Product(s) and associated Delivery costs.

Customers can benefit from free credit facilities by choosing the zipPay option on the Site. Their Purchase and Credit profile must be validated by zipPay to benefit from this service. Conditions may apply.

Payment Options

Customers can choose to pay using the following payment methods:

  • Debit Card or Credit Card: If you pay by credit card using the secure Payment Gateway, you will be charged in Australian dollars. If you are purchasing from overseas then your respective bank of your credit/debit card will convert your purchase to your local currency and you will see this on your statement. We do not store your credit card details.
  • Paypal: PayPal payments are processed in your local currency at the time of purchase.
  • Direct deposit: if you do not want to use a credit card we also offer the option of paying via Direct Deposit. Our bank account details will be displayed after checkout.
  • Buy Now – Pay Later – Interest free: simply select zipPay at checkout, Sign up in seconds and Shop without a credit card. zipPay is a simple and secure payment option, that lets you shop today and pay later for your purchases. You can pay with easy weekly or monthly payments with NO INTEREST whatsoever.

Payments from Customers are considered settled once they have been cleared in ArtPhotoGroup Pty Ltd’s bank account.

Charging of Credit cards

Credit cards are debited when your order is confirmed. If ArtPhotoGroup Pty Ltd is unable to charge your credit card due to insufficient funds or other errors, then ArtPhotoGroup Pty Ltd will attempt to contact you by email or phone to rectify the issue. If you do not contact ArtPhotoGroup Pty Ltd to resolve the issue then the order will be cancelled. Please note that Product availability and prices may change if the time between placing your order and credit card details being corrected or funds being available is delayed.

Cheque and Bank Transfers

If you choose to pay by Cheque/Money Order or Bank Transfer and the funds are not received within 60 days, then the order will be cancelled by ArtPhotoGroup Pty Ltd. Please note that Product availability and prices may change if the time between placing your order and the payment being received is delayed. Please remember to include your Account Number (Access code) and the ArtPhotoBaby Order Number as a reference with your payment

Delivery Terms

The delivery of ordered Product(s) will be carried out by a transporter selected by ArtPhotoGroup Pty Ltd. ArtPhotoGroup Pty Ltd will make all necessary and reasonable efforts to deliver the order product(s) in the best delays after full payment of the goods and their associated delivery costs is cleared. The Product(s) ordered will be delivered at the postal address validated by Customers when passing their order on the Site.

Nevertheless, if the ordered Product(s) are not delivered 15 days after the provisional date of Delivery as indicated on the Site when passing the order, for any cause other than some extraordinary event or circumstance beyond our control (*) or fault from Customers in the order taking process, Customers will be entitled to cancel the sales contract. In that case, Customers must notify ArtPhotoGroup Pty Ltd by registered mail of their decision to cancel their order. The sale will be cancelled at reception of the registered letter if the Product(s) have not been delivered at that time.

In case of order cancellation, ArtPhotoGroup Pty Ltd will refund Customers the price of the Product(s) and associated delivery costs within 30 days from the date of the sales contract cancellation.

(*) Extraordinary events or circumstances beyond our control include, without limitation, wars, strikes, riots, hostilities, revolutions, terrorism, national emergency, explosion, civil commotion, embargo, fire, flood, earthquake, volcanic eruption, and force majeure or any “acts of God”, transport interruption or inability for suppliers to deliver, and generally any external unpredictable and uncontrollable events.

Insufficient or Incorrect Delivery Information

Address changes and/or corrections made through your ArtPhotoBaby Account will only affect future orders placed after the changes and/or corrections are made. Any changes and/or corrections for current orders must be done by phoning Customer Service on 02 9401 0884 Monday - Friday, 9am - 5pm Sydney time. (Don't forget to update your account for future orders after phoning ArtPhotoBaby)

Customers who enter addresses that Australia Post have deemed having incorrect and/or insufficient details to ensure delivery may result in the following: (1) Delayed delivery, (2) Lost parcel, (3) Package/s returned to the ArtPhotoBaby Warehouse

Any package returned to ArtPhotoBaby due to the above incorrect and/or insufficient information will require an extra delivery charge of $9.00. Also, if ArtPhotoGroup Pty Ltd has incurred extra fees to retrieve the package from Australia Post then these charges will also be borne by Customers before the package can be dispatched again.

Any shipment that is delayed or lost and is found to have had incorrect and/or insufficient details provided by Customers will not be covered by ArtPhotoGroup Pty Ltd. NO REFUNDS and NO STORE CREDITS are applicable.

If the package has the correct delivery information and is 'lost' by Australia Post, ArtPhotoGroup Pty Ltd will replace the items only after you have checked with your local Post Office.

Mail Redirections

Customers please note that many of our ArtPhotoBaby customers inform us that their Australia Post Redirections do not work with packages. ArtPhotoGroup Pty Ltd will not be responsible for replacing goods or extra costs if a redirection has not been successful. Please contact Customer Service before you move to ensure a current order has the updated details to minimize delays.

Delivery Costs

Delivery rates cover the costs towards packing your order and delivering it to your door. It includes packaging costs, labour costs and postage costs. The delivery costs depend on the total weight of your order. Rates are detailed below:

  • Weight of your total order delivery rate

  • 450 grams to 1 kg ……………….. $ 15.00
  • 1kg to 1,5 kg …………………..…… $ 22.00
  • Above 1,5 kg …………………......... $ 30.00
Risks associated with Transport

ArtPhotoGroup Pty Ltd will bear the risks associated to transport till the Delivery. The Delivery is defined as the first presentation of ordered Product(s) by Customers at the delivery address validated when passing the order on the Site.

If Customers are not present for the Delivery, the carrier will leave a notice to Customers as to where they can withdraw their Product(s). ArtPhotoGroup Pty Ltd will not bear any responsibility in the possible damage to Product(s) if Customers delay the withdrawal of their ordered Product(s). Collecting the Product(s) is the sole responsibility of Customers.

Product Conformity – Personalisation ‘mistakes’

ArtPhotoGroup Pty Ltd will print the ordered Product(s) exactly as they are displayed on Customer’s Private Web Galleries. The Product(s) are already personalised with the data in the registered Account associated with the Private Web Gallery. It is the sole responsibility of Customers to check these details and proofread the Product(s) before passing their order. The Product(s) being fully personalised, we will not be able to cancel, change your order or reprint it if you wish to correct some text after the order has been passed. Please refer to Article 5 in these Terms.

In case some personal data is incorrect in the Product(s) displayed in the Private Web Gallery, Customers must go totheir registered Account and amend the data. The Product(s) images will be refreshed in the Private Web Gallery. Customers should then double-check before passing the order. Please allow 24 hours for the process to be completed.

Quality control of delivered goods – Returns policy

Customers must check the state of Product(s) at Delivery. Customers must inform ArtPhotoGroup Pty Ltd by registered letter within 8 days after delivery, if they consider the Product(s) to be damaged or not in conformity with Product specifications. It is Customers’ responsibility to demonstrate any Product non-conformity or damage.

After this delay and if the claim process is not respected, Product’s will be considered as conform with the Site specifications and therefore the purchase contract.

In case of damage or faulty Product(s) duly demonstrated by Customers, they will be entitled to claim the reprint of the Product or the replacement by another Product of same value or the

refund of the cost of the Product and associated delivery costs. A faulty or damaged Product does not entitle Customers to any claim beyond these costs.

In that case, Customers must return the unused Product to ArtPhotoBaby customer service and must pay the cost of returning the Product to our nominated address. We will reprint and resend a fresh new Product within 3 weeks of receiving the damaged goods. Please note that slight variations in colour between the printed product and the images your screen, are not considered as non-conformity and that the liability of ArtPhotoGroup Pty Ltd to replace the Product will not be engaged in that case.

Any Product return is subject to prior approval by ArtPhotoGroup Pty Ltd. Return costs and risks are born by Customers. Without any prior consent of ArtPhotoGroup Pty Ltd, the returned Product(s) will be stored for Customers – storage costs may be charged or Product(s) returned to Customers at their own cost.

  • Customers agree that ownership transfers to them upon full payment of the Product ordered and associated delivery costs. The shipping terms for all printed Products are FOB shipping point: this means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
  • For any Product that is to be provided to Customesr in an electronic format, Customers agree that delivery of such Product shall be deemed to have occurred either (a) at the time we transmit the Product via email or other electronic communication addressed to them or (b) at the time we transmit a notification to Customers that the Product is available for downloading from the Site.
  • The information contained on the ArtPhotoBaby website may contain technical inaccuracies or typographical errors. All liability of ArtPhotoGroup Pty Ltd howsoever arising for inaccuracies or errors is expressly excluded to the fullest extent permitted by law.
  • The site and its content are provided "AS IS" without warranty of any kind, either expressed or implied, including, but not limited to, warranties of merchant ability, fitness for a particular purpose, or non-infringement. Users acknowledege that operation of the site may not be uninterrupted or error free.
  • Some jurisdictions may provide you with certain warranties or guarantees that cannot be excluded by contract ("consumer guarantees"), or only limited in certain circumstances, and nothing in these terms of use alter those consumer guarantees if it is illegal for ArtPhotoGroup Pty Ltd to do so. If those consumer guarantees apply to you, and ArtPhotoGroup Pty Ltd cannot legally exclude those consumer guarantees, then to the maximum extent permitted by law, ArtPhotoGroup Pty Ltd: (1) excludes or limits those consumer guarantees; and (2) limits its liability to the replacement of the goods.
  • Please note that we cannot be responsible for: inaccuracy, spelling, punctuation or grammatical errors resulting from inaccurate data in Customer’s account, inferior quality or low-resolution of uploaded images, errors in user-selected options such as choice of finish, quantity or product type, and damage to the products arising after delivery to the customer. Please preview your designs carefully and correct any mistakes in your details (like Baby’s name spelling, weight, size, date of birth…) PRIOR to placing your order. ArtPhotoGroup Pty Ltd does not proofread documents validated by its Customers prior to processing.
  • We use reasonable care and skill to provide Users a satisfactory experience in accordance with our business specifications but (1) the Services are provided "as is"; and (2) we cannot and do not guarantee that ArtPhotoBaby or the Services will meet your requirements, including (without limitation) quality of products or speed of delivery of any order placed on or made through ArtPhotoBaby.
  • Unless proved otherwise, ArtPhotoGroup Pty Ltd cannot be held responsible for any damages, material or immaterial, that could result from inappropriate usage of the Site, login and password, or order process. Specifically, the liability of ArtPhotoGroup Pty Ltd cannot be engaged for any risk resulting from using the Internet, like service suspension, intrusion or computer viruses. In no event shall ArtPhotoGroup Pty Ltd be liable or responsible for any damages or consequences arising from or related to your inappropriate or unauthorized use of this Site or its content.
  • ArtPhotoGroup shall bear no responsibility or liability whatsoever for the use of the Private Web Gallery and/or data or photo transfers or downloads, carried out by a Third Party User using the Account Owner’s login and password. Account owners agree that they are responsible for protecting their login and password and controlling access to their registered account. They agree that they will be responsible for all orders placed or other actions that are taken through their registered account.
  • To the maximum extent permitted by law, in no event shall ArtPhotoGroup Pty Ltd or its franchisees, licensors, suppliers or vendors, their officers, directors, employees or agents be liable for any incidental, indirect, or consequential damages of any kind, or for any loss of revenue, data, business, anticipated savings, profits, opportunity, goodwill or reputation, or for any business interruption; or for any indirect, special or consequential loss damage, costs or other claims, arising out of or in connection with the use or performance of the Site or of failure to provide products or services that the User orders from ArtPhotoGroup Pty Ltd or its affiliates or franchisees, including without limitation, damages arising from mistake, omission, virus, delay, or interruption of service.
  • ArtPhotoGroup Pty Ltd will not be liable for any failure to perform their obligations or delay in performance caused by any extraordinary event or circumstance beyond our control including, without limitation, wars, strikes, riots, hostilities, revolutions, terrorism, national emergency, explosion, civil commotion, embargo, fire, flood, earthquake, volcanic eruption, and force majeure or any “acts of God”, transport interruption or inability for suppliers to deliver, and generally any external unpredictable and uncontrollable events.
  • The provisions of this Clause shall outlive the termination or expiry of these Terms.
  • This Site contains graphics, photographs, images, document layouts, product designs, artwork, text, fonts, music, software tools, and other information (referred to herein as “Content”). This Site and all Content are the copyrighted property of ArtPhotoGroup Pty Ltd. All rights in this Site and its Content are reserved worldwide.
  • It is strictly prohibited to retain, copy, distribute, publish, or use any portion of the Content except as expressly allowed in these Terms of Use. ArtPhotoGroup Pty Ltd reserves the right to add to, delete from, or modify any part of Content at any time without prior notice.
  • Photos are taken by ArtPhotoGroup Pty Ltd or professional photographers appointed by ArtPhotoGroup Pty Ltd. All photographs are sole propriety of ArtPhotoGroup Pty Ltd.
  • Images of products personalised with these photographs and uploaded on the Account owner’s Private Web Gallery on the Site are sole propriety of ArtPhotoGroup Pty Ltd.
  • Products designs and layouts as well as web design and texts are the exclusive property of ArtPhotoGroup Pty Ltd and cannot be copied or used by Users without breaching our copyrights. Users are not allowed to use or to copy any material found on ArtPhotoBaby.com.au for any private or commercial purpose other than to conduct the purchase of a Product from the Site.
  • Any tentative by the Account owner or other Users to copy the images from the Site including all images within his Private Web Gallery will be considered as a violation of ArtPhotoGroup copyrights. Specifically, screen copies in view to reproduce photos and images are strictly forbidden.
  • ArtPhotoGroup Pty Ltd reserves the rights to take any legal action against Users reproducing images from the site without prior formal consent given by ArtPhoto Group Pty Ltd.
